Terms of Service

You must create an account to use Talli. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to provide accurate information when creating and maintaining your account.

You agree not to:

• Use Talli for any unlawful purpose;
• Attempt to gain unauthorized access to Talli, other accounts, or the systems or networks connected to Talli;
• Interfere with or disrupt the integrity or performance of the Service; or
• Reverse engineer, decompile, or attempt to extract the source code of Talli, except as permitted by law.

Talli is designed to help guide and simplify physical restaurant inventory counting, including performing configured unit and weight conversions. Talli's calculated results depend on the accuracy of the physical counts and weights entered or measured during use, the accuracy of any product configuration or calibration settings, and the proper functioning of connected hardware. We do not guarantee that inventory results, counts, or exported count sheets will be free of error, and you are responsible for reviewing inventory results for reasonableness before relying on them for business, accounting, or ordering decisions.

Certain Talli features depend on connecting to a compatible Bluetooth scale or other hardware. We do not manufacture third-party scales and are not responsible for the performance, accuracy, or availability of third-party hardware. Bluetooth connectivity may be affected by device settings, distance, interference, or hardware compatibility outside of our control.

We strive to keep Talli available and reliable, but we do not guarantee that the Service will be uninterrupted, error-free, or available at all times. We may modify, suspend, or discontinue all or part of the Service at any time, including for maintenance, updates, or improvements.

Talli, including its software, design, branding, and content, is owned by J&M Manufacturing LLC and is protected by intellectual property laws. These Terms do not grant you any ownership rights in Talli. We grant you a limited, non-exclusive, non-transferable license to use Talli solely for your own internal restaurant inventory purposes, subject to these Terms.

You may stop using Talli and request deletion of your account at any time by contacting us. We may suspend or terminate your access to Talli if we reasonably believe you have violated these Terms or if we discontinue the Service.

Talli is provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that Talli will meet your specific requirements or that any inventory results will be accurate, complete, or suitable for any particular business purpose.

To the fullest extent permitted by law, J&M Manufacturing LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising from or related to your use of Talli, even if we have been advised of the possibility of such damages. Our total liability arising out of or relating to these Terms or Talli will not exceed the amount you paid us, if any, for the Service in the twelve months preceding the event giving rise to the claim.

We may update these Terms from time to time. If we make material changes, we will update the effective date at the top of this page. Your continued use of Talli after an update constitutes acceptance of the revised Terms.
